These Terms of Service (the “Terms”) govern your access to and use of the website located at assemble.capital (the “Site”), operated by Assemble Capital LLC and its affiliated project entities (collectively, “Assemble Capital,” “we,” “us,” or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
1. Informational purposes only — no offer or solicitation
The Site and all content on it are provided for general informational purposes only. Nothing on the Site constitutes, or should be construed as, an offer to sell or a solicitation of an offer to purchase any security, investment, or other financial product, in any jurisdiction, to any person. Any offering of securities by Assemble Capital or an affiliated issuer will be made only through definitive offering documents — which may include a private placement memorandum, operating agreement, and subscription agreement — furnished to eligible prospective investors. Those documents contain material information, terms, fees, conflicts, and risk factors not summarized on this Site, and they control in the event of any inconsistency with the Site.
2. Private offerings; Rule 506(b) and 506(c)
Securities offered by Assemble Capital–affiliated issuers are not registered under the Securities Act of 1933 or any state securities laws, and are offered and sold in reliance on exemptions from registration, which may include Rule 506(b) or Rule 506(c) of Regulation D, or another available exemption. Each offering is separate and self-contained:
- Offerings conducted under Rule 506(c) may be generally solicited but are available only to verified accredited investors, and the issuer is required to take reasonable steps to verify accredited status before accepting an investment.
- Offerings conducted under Rule 506(b) are not generally solicited and are available only to investors with whom the issuer has a substantive, pre-existing relationship, in accordance with applicable law.
- Nothing on this Site identifies the exemption applicable to any particular investment; the exemption, eligibility requirements, and subscription procedures for each offering are stated in that offering's definitive documents.
Visiting the Site, joining our contact list, or submitting an inquiry does not establish eligibility for any offering, create a substantive relationship, or entitle you to invest.
3. No advice; no fiduciary or advisory relationship
Content on the Site is not, and should not be relied on as, investment, financial, legal, accounting, or tax advice. Assemble Capital is not acting as your investment adviser, broker-dealer, attorney, accountant, or fiduciary by virtue of your use of the Site or any communication with us outside of executed definitive documents. You should consult your own qualified advisors before making any investment decision.
4. Eligibility and investor representations
The Site is intended for use by persons 18 years of age or older. Certain materials are intended only for accredited investors as defined in Rule 501(a) of Regulation D and/or sophisticated investors. If you represent your investor status to us (for example, through the contact form), you represent and warrant that the information you provide is truthful, accurate, and complete, and you acknowledge that we and our service providers may rely on it.
5. Past performance and forward-looking statements
Historical performance information on the Site reflects projects completed by Assemble Capital's principals through predecessor and affiliated entities, most of which were not Assemble Capital offerings and did not involve Assemble Capital investors. Past performance is not indicative of future results. The Site may contain forward-looking statements — including projected values, timelines, and returns — that are inherently uncertain, are not guarantees, and may differ materially from actual outcomes. We undertake no obligation to update any forward-looking statement.
6. Intellectual property
The Site and its contents — including text, photographs, renderings, graphics, logos, and the Assemble Capital name and marks — are owned by or licensed to Assemble Capital and are protected by intellectual property laws. You may view and print Site content for your personal, non-commercial use. You may not otherwise reproduce, distribute, modify, publicly display, or create derivative works from Site content without our prior written consent.
7. Third-party sites and services
The Site links to third-party websites and services, including property listing pages (such as Zillow) and our third-party investor portal. We do not control and are not responsible for the content, accuracy, availability, or privacy practices of third-party sites. Listing information — including pricing and availability — may change at any time and is provided by third parties without verification by us. A link does not imply endorsement.
8. Site provided “as is”; disclaimer of warranties
THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR COMPLETENESS. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT INFORMATION ON THE SITE IS CURRENT, ACCURATE, OR COMPLETE.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ASSEMBLE CAPITAL AND ITS MEMBERS, MANAGERS, PRINCIPALS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SITE OR ANY CONTENT ON IT, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE EXCEED ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS LIMITS OR WAIVES ANY RIGHTS YOU MAY HAVE UNDER FEDERAL OR STATE SECURITIES LAWS THAT CANNOT BE LIMITED OR WAIVED.
10. Indemnification
You agree to indemnify, defend, and hold harmless Assemble Capital and its members, managers, principals, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to your misuse of the Site, your violation of these Terms, or your violation of any law or the rights of a third party.
11. Dispute resolution; governing law
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the Site that cannot be resolved informally shall be resolved by binding arbitration in Los Angeles County, California, administered by JAMS under its applicable rules, on an individual basis only. You and Assemble Capital each waive the right to a jury trial and the right to participate in a class, collective, or representative action with respect to Site-related disputes, to the extent permitted by law. This section applies to Site usage disputes only; dispute resolution for any investment is governed exclusively by the applicable definitive offering and governing documents. Nothing in this section limits any non-waivable right to communicate with or report to the SEC or any other regulator.
12. Electronic communications
By using the Site or providing your contact information, you consent to receive communications from us electronically, and you agree that all agreements, notices, and disclosures we provide electronically satisfy any legal requirement that such communications be in writing. You may opt out of non-transactional communications at any time.
13. Changes to the Site and these Terms
We may modify, suspend, or discontinue the Site at any time, and may revise these Terms from time to time by posting an updated version with a revised “Last updated” date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
14. Severability; entire agreement
If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect. These Terms, together with the Privacy Policy and Risks & Disclosures, constitute the entire agreement between you and Assemble Capital regarding use of the Site, and supersede prior agreements on that subject. They do not modify or supersede any definitive offering or governing document.
